Board of Commissioners
The duties and responsibilities of Zekindo’s Board of Commissioners, as outlined in the Board of Directors’ Code of Conduct, are based on Law No. 40 of 2007 concerning Limited Liability Companies and Financial Services Authority Regulation No. 33/POJK.04/2014 concerning the Boards of Directors and Commissioners of Public Companies.
The Board of Commissioners is responsible for supervising the company’s management policies and business activities. It also provides advice to the Board of Directors and ensures that Good Corporate Governance (GCG) is implemented effectively and sustainably.

Board of Directors
The duties and responsibilities of Zekindo’s Board of Directors, as outlined in the Board of Directors’ Code of Conduct, are based on Law No. 40 of 2007 concerning Limited Liability Companies and Financial Services Authority Regulation No. 33/POJK.04/2014 concerning the Boards of Directors and Commissioners of Public Companies.
The Board of Directors is responsible for managing the company’s interests and implementing strategies and plans in line with the company’s objectives as stipulated in the Articles of Association and applicable regulations.

Corporate Secretary
The Corporate Secretary is responsible for providing information related to the company and the capital market, as well as maintaining communication with stakeholders. The Corporate Secretary reports directly to the Board of Directors in accordance with the provisions of Financial Services Authority Regulation No. 35/POJK.04/2014 concerning Corporate Secretaries of Issuers or Public Companies.

Yana Marlianty Safaqoh
Yana Marlianty Safaqoh is an Indonesian citizen, born in Jakarta in 1972. She holds an associate degree in Information Management from STMIK Gunadarma. She has more than 8 years of experience in the manufacturing industry, focusing on human resources, information technology, and business support, as well as 22 years of professional experience in the banking sector, specializing in operations, business process improvement, ISO management, project management, testing management, and general affairs. She began her career as an ATM & Credit Card Officer and later as a Senior Manager at Lippo Bank (1993–2008), then served as Assistant Vice President in the Parameter Division and as Vice President in the Transformation Office at CIMB Niaga (2008–2014). She was appointed as HR and IT Head of Zekindo Companies in 2014.
Internal Audit
Zekindo established an Internal Audit Unit to conduct objective and independent reviews of corporate governance, as well as to evaluate the effectiveness of the internal control system and risk management overseen by the Board of Directors. The Internal Audit Unit Charter, issued by the Board of Directors with approval from the Board of Commissioners, defines the structure, responsibilities, authority, and code of conduct governing the unit’s activities.

HEAD OF INTERNAL AUDIT
Dody Dwi Prasetyo
The Internal Audit Team is led by Dody Dwi Prasetyo, an Indonesian citizen. He earned a Bachelor’s degree in Financial Management and Banking from Sekolah Tinggi Ilmu Ekonomi Bhakti Pembangunan in 1998. Prior to joining Zekindo, he served as an internal auditor at CIMB Niaga and Lippo Bank.
Code of Conduct
ZEKINDO has established a Company Code of Conduct (CoC) as a standard of reference for all individuals in conducting business activities. The CoC governs the behavior of the corporation and its people—including employees, directors, commissioners, and subsidiaries—to uphold prevailing ethical norms and values, particularly in relation to business ethics and stakeholder relations.
As a living document, the CoC is reviewed periodically to reflect the company’s growth and changes, ensuring consistent compliance with established ethics and norms. In any revision, ZEKINDO is committed to maintaining the integrity of its core principles and will not compromise these standards for short-term interests.

Risk Management
Corporate Risk Management is an effort made by ZEKINDO to identify and manage existing risks in accordance with company conditions and policies. ZEKINDO conducts periodic evaluations of policies in the company’s risk management to adjust to current business conditions and developments, so as to reduce the potential for material and non-material losses.
Corporate Risk Management is determined by ZEKINDO to be implemented and as a guideline for every stakeholder in acting and making decisions related to the company’s business processes.

Zekindo has a company Code of Conduct (COC) which is used as the basis and standard reference for each individual to behave and act in the business activities carried out. The CoC regulates the behavior of corporations and individuals, including employees, directors, commissioners and subsidiaries, to uphold the prevailing ethical norms and values, particularly those related to business ethics and stakeholder relations.
As a dynamic guideline, CoC will be evaluated periodically and continuously in accordance with the dynamics and developments of the company to ensure the compliance of each individual to the established ethics and norms. In its changes, Zekindo will not lower the standard of existing foundations and values for the short-term interests.
