The duties and responsibilities of Zekindo’s Board of Commissioners as stated in the Board of Directors’ Code of Conduct are based on Law No. 40 of 2007 concerning Limited Liability Companies and Financial Services Authority Regulation No. 33/POJK.04/2014 concerning The Board of Directors and The Board of Commissioners of Issuers of Public Companies
The Board of Commissioners is responsible to conduct the supervision of the management policies related to the Company and the Company’s business activities. The Board of Commissioners provides advice to the Board of Directors and ensures that Good Corporate Governance (GCG) has been implemented effectively and sustainably.

The Board of Directors is responsible for managing the interests of the Company and implementing strategies and plans that are in accordance with the company’s objectives as stipulated in the Articles of Association and applicable regulations.

Corporate Secretary
Corporate Secretary is responsible for delivering information related to the company and the capital market, as well as maintaining communication with stakeholders. The Corporate Secretary reports directly to the Board of Directors in accordance with the provisions stipulated in the Financial Services Authority Regulation No. 35/POJK.04/2014 concerning Corporate Secretary of Issuers or Public Companies.

Yana Marlianty Safaqoh
Yana Marlianty Safaqoh, Indonesian citizen who was born in Jakarta in 1972. She holds an associate’s degree in Information Management from STMIK Gunadarma. She has more than 8 years of experience in the manufacturing industry, especially for human resources, information technology, and business support and 22 years of professional experience in banking sector, especially in operations, business process improvement, ISO management, project management, testing management, and general affairs. She started his career as an ATM & Credit Card Officer and Senior Manager at Lippo Bank (1993-2008). She also served as Assistant Vice President and Parameter Division, as well as Vice President Transformation Office at CIMB Niaga (2008-2014). She was appointed HR and IT Head of Zekindo Companies in 2014 until now.
Internal Audit
Zekindo established an Internal Audit Unit to implement the objective and independent review and evaluation of corporate governance, as well as the effectiveness of the internal control system and risks carried out by the board of directors. The Internal Audit Unit Charter issued by the Board of Directors with the approval of the Board of Commissioners, accommodates the structure, responsibilities, authorities, and code of conduct that must be carried out in the activities of the Internal Audit Unit.

Dody Dwi Prasetyo
The Internal Audit Team is led by Dody Dwi Prasetyo, an Indonesian citizen. He earned a Bachelor’s degree in Financial Management and Banking at Sekolah Tinggi Ilmu Ekonomi Bhakti Pembangunan iin 1998. Previously, he was an internal auditor at CIMB Niaga and Lippo Bank.
Code of Conduct
Zekindo has a company Code of Conduct (COC) which is used as the basis and standard reference for each individual to behave and act in the business activities carried out. The CoC regulates the behavior of corporations and individuals, including employees, directors, commissioners and subsidiaries, to uphold the prevailing ethical norms and values, particularly those related to business ethics and stakeholder relations.
As a dynamic guideline, CoC will be evaluated periodically and continuously in accordance with the dynamics and developments of the company to ensure the compliance of each individual to the established ethics and norms. In its changes, Zekindo will not lower the standard of existing foundations and values for the short-term interests.

Risk Management
Corporate Risk Management is an effort made by Zekindo to identify and manage existing risks in accordance with company conditions and policies. Zekindo conducts periodic evaluations of policies in the company’s risk management to adjust to current business conditions and developments, so as to reduce the potential for material and non-material losses.
Corporate Risk Management is determined by Zekindo to be implemented and as a guideline for every stakeholder in acting and making decisions related to the company’s business processes.
